OneNetSpace END USER LICENSE AGREEMENT

Last updated: August 26, 2026

IMPORTANT - READ CAREFULLY. This End User License Agreement ("Agreement") is a binding legal agreement between you (either an individual or a single entity, "You" or "Your") and OneNetSpace, LLC, a Florida limited liability company ("OneNetSpace", "We", "Us", or "Our") governing Your access to and use of the OneNetSpace software platform, including its local agents, kernel-mode drivers, system-configuration components (including firewall, routing, and DNS settings), bundled software components, machine-learning models downloaded to the device, updates, and associated media or documentation (collectively, the "Software"), together with the OneNetSpace hosted management portal and the licensing, update, enrollment, and related online services that support the Software (collectively, the "Services").

BY INSTALLING, COPYING, ACCESSING, DEPLOYING, OR OTHERWISE USING THE SOFTWARE, YOU EXPRESSLY AGREE TO BE BOUND BY ALL TERMS OF THIS AGREEMENT, INCLUDING THE ARBITRATION AGREEMENT AND CLASS-ACTION WAIVER IN SECTION 18. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT INSTALL, COPY, OR USE THE SOFTWARE, AND SELECT "I DO NOT ACCEPT" TO CANCEL THE INSTALLATION.

1. License Grant

Subject to Your strict compliance with this Agreement and timely payment of all applicable fees, OneNetSpace grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and execute the Software solely on authorized devices You own or legally control, exclusively for Your internal business operations or personal security monitoring. All rights not expressly granted herein are strictly reserved by OneNetSpace.

2. Trial; Entitlement Validation; Automatic Disablement

(a) Trial: The Software may be provided under a free evaluation trial for a limited period (currently thirty (30) days) on a limited number of devices. If You do not purchase a subscription, then following a short grace period after trial expiration (currently three (3) days), THE SOFTWARE'S PROTECTIVE FUNCTIONS AUTOMATICALLY DEACTIVATE AND YOUR DEVICES WILL NO LONGER BE MONITORED OR PROTECTED BY THE SOFTWARE. The same automatic deactivation, following the same grace period, applies if a paid subscription lapses. Trial, subscription, renewal, and fee terms will be presented to You at or before purchase and remain available in Your management portal.

(b) Entitlement Validation; Fail-Closed Operation: The Software's protective functions require a valid, cryptographically signed, device-bound license entitlement, validated periodically with the Services. The Software operates on a fail-closed basis: if initial activation cannot be completed with the Services, or if a valid entitlement cannot be verified after the applicable grace period, protective functions remain or become disabled. The Software does not require continuous connectivity: protective functions continue to operate while the device's current signed entitlement remains within its validity period (which includes the applicable grace period), even if the Services are temporarily unreachable. The Software indicates its protection status on the device; You are responsible for verifying that protection is active and for maintaining alternative protection during any period in which the Software's protection is not active. YOU ACKNOWLEDGE THAT YOUR DEVICES ARE NOT PROTECTED BY THE SOFTWARE DURING ANY PERIOD IN WHICH ENTITLEMENT HAS LAPSED, CANNOT BE VERIFIED, OR ACTIVATION HAS NOT COMPLETED, AND ONENETSPACE HAS NO LIABILITY FOR EVENTS OCCURRING DURING ANY SUCH PERIOD, SUBJECT TO SECTION 11.

3. Restrictions

You shall not, directly or indirectly, nor permit any third party to: (a) copy, modify, translate, adapt, or create derivative works of the Software; (b) reverse engineer, decompile, disassemble, or attempt to derive the source code, underlying algorithms, or model weights of the Software, except to the extent such restriction is expressly prohibited by applicable law; (c) rent, lease, lend, sell, sublicense, redistribute, host, or provide the Software as a service bureau or managed service to third parties without prior written authorization from OneNetSpace; (d) remove, alter, or obscure any proprietary, copyright, or trademark notices; (e) circumvent, disable, or tamper with any security, licensing, digital rights management, or tamper-protection features (authorized removal is described in Section 5(c)); or (f) use the Software in violation of any local, state, federal, or international law.

4. Ownership And Intellectual Property

The Software is licensed, not sold. OneNetSpace and its licensors retain all right, title, and interest in and to the Software and the Services, including all patents, copyrights, trade secrets, trademarks, AI model architectures, and other intellectual property rights.

5. Deployment, System Access, Updates, And Removal

(a) System Access and Modifications: The Software operates as endpoint security software. You acknowledge and consent that the Software: runs with elevated (system-level) privileges as a background service that starts automatically and restarts if stopped; installs a digitally signed kernel-mode virtual network driver used to establish the Software's encrypted private-network connectivity; subscribes to low-level operating-system event telemetry; creates and modifies host firewall rules, network routes, and DNS settings on the device; and may include such additional low-level networking, filtering, or driver components as are introduced in updates to the Software. OneNetSpace will disclose materially new system-access components through the notice mechanism in Section 21. OneNetSpace shall have no liability for operating system instability, hardware incompatibility, performance degradation, system crashes or kernel errors, network connectivity changes, or conflicts with third-party software resulting from the installation or execution of the Software, subject to Section 11.

(b) Automatic Updates: OneNetSpace delivers updates, patches, and modifications to the Software. Updates classified by OneNetSpace as mandatory for security or stability are applied AUTOMATICALLY AND WITHOUT PRIOR NOTICE; other updates may prompt You to install or postpone. Updates are cryptographically verified (digital signature and integrity hash) before installation, and the Software attempts to automatically roll back an update that fails post-installation health checks; however, OneNetSpace does not warrant that any update will be error-free. Updates may be required for the Software to continue functioning, and declining or blocking required updates may cause protective functions to stop working. You consent to such updates, and this Agreement governs all updates unless accompanied by separate terms. ONENETSPACE DISCLAIMS ALL LIABILITY FOR ANY HARM ARISING FROM UPDATES OR FROM FAILED OR PARTIAL UPDATES, INCLUDING SYSTEM INTERRUPTION, DEVICE INOPERABILITY, DATA LOSS, FEATURE CHANGES OR REMOVAL, AND INCOMPATIBILITY, SUBJECT TO SECTION 11.

(c) Tamper Protection and Authorized Removal: To prevent malicious actors from disabling protection, the Software includes tamper-protection features, including: (i) a watchdog component that automatically restores and restarts the Software if its components are stopped, killed, or removed without authorization; (ii) access-control restrictions on the Software's program data; and (iii) an uninstallation gate — on devices enrolled with the Services, uninstalling the Software requires a removal authorization issued through Your management portal or console and bound to the specific device. Removal authorization is available to Your authorized administrators through the portal at no charge, including following termination or expiration of this Agreement, and OneNetSpace will not unreasonably withhold or delay it. Removal authorizations are issued for devices registered to Your account and are valid for a limited period; if You remove a device from Your account before uninstalling the Software from it, retain a previously issued removal authorization or contact support@onenetspace.com. If You cannot access the portal (including because Your trial or subscription has ended or Your account has been terminated), or if removal authorization is not issued within ten (10) business days of a verified request, OneNetSpace will issue removal authorization through support@onenetspace.com upon reasonable verification of Your identity and Your control of the device, and removal of the Software from a device You own after OneNetSpace has failed to provide authorization as described above is not a violation of Section 3(e). Devices not enrolled with the Services may be uninstalled without a removal authorization. Once authorized, the provided uninstaller removes the Software's scheduled tasks, program data, and registry entries; certain system-configuration changes made during operation (such as firewall rules, network routes, and DNS settings) may persist after removal and may require manual restoration. You are responsible for using the authorized uninstallation routine; removing or force-deleting the Software outside that routine may leave modified system states, altered firewall or network configurations, or leftover registry entries, and the Software may reinstate itself as described above. OneNetSpace is not liable for network loss, endpoint unresponsiveness, or security vulnerabilities created during or following removal of the Software, subject to Section 11.

6. Autonomous Actions And Artificial Intelligence

(a) Remediation Actions; Enablement and Authorization: The Software includes agentic execution capabilities and artificial-intelligence models ("Autonomous Features"). IN ITS DEFAULT CONFIGURATION, THE SOFTWARE OPERATES IN A MONITOR-ONLY MODE: IT DETECTS AND ALERTS BUT DOES NOT EXECUTE REMEDIATION ACTIONS. Where You or Your administrator enable an enforcement or autonomous-remediation policy through the Software's policy settings or configuration, You thereby grant the Software (acting under the policies You or Your administrator configure) explicit authorization to execute programmatic, automated remediation actions on Your systems without per-action confirmation or prior manual administrator intervention. The remediation actions currently available include, but are not limited to: terminating processes (subject to an internal safeguard list of protected system processes); isolating the endpoint from local networks or the internet (while preserving a management channel); blocking or severing individual network connections; re-enabling operating-system security features such as the host firewall or antivirus; and time-critical local containment (such as automated termination of suspected ransomware processes) executed directly on the endpoint. The catalog of available remediation actions may change with updates, and this Section governs actions added in updates; remediation-action types added in updates are, like the current catalog, inactive in the Software's default monitor-only configuration and execute only under an enforcement policy You or Your administrator have enabled, and material expansions of the remediation catalog are subject to the notice provisions of Section 21. Each remediation action is recorded in an audit log that identifies whether it was user-confirmed or automatic, and an authorized administrator may temporarily pause enforcement through the management interface (subject to availability of the Services). You are responsible for the acts and omissions of any administrator You authorize on Your account.

(b) Non-Deterministic AI Output: You acknowledge that Autonomous Features rely on statistical and non-deterministic algorithms that may produce false positives, false negatives, fabricated or erroneous reasoning, or unintended system modifications. Actions taken by the Software in accordance with the policy configuration You or Your administrator have enabled — whether fully autonomous, semi-autonomous, or user-initiated — are authorized by You. You retain sole responsibility for setting administrative policy thresholds, maintaining human-in-the-loop oversight where desired, and maintaining independent data backups.

(c) AI-Generated Content; No Professional Advice: Explanations, chat responses, recommendations, and other content generated by the Software's AI features are produced by statistical models, may be inaccurate, incomplete, fabricated, or outdated, and are provided for informational purposes only. They do not constitute professional, legal, compliance, or security-consulting advice. You are solely responsible for independently verifying AI-generated content before acting on it, and OneNetSpace has no liability for actions You or others take in reliance on AI-generated content.

7. Suspension And Disablement

OneNetSpace may suspend or disable the Software or its protective functions, in whole or in part: (a) upon expiration or non-renewal of Your trial or subscription following any stated grace period (see Section 2); (b) if entitlement validation fails; (c) upon Your material breach of this Agreement; or (d) where OneNetSpace reasonably determines that continued operation presents a security risk. Where practicable, OneNetSpace will provide notice through the portal or the device before or promptly after suspension.

8. High-Risk Use

The Software is not designed, tested, or licensed for use in hazardous environments requiring fail-safe performance, including life-support or medical devices, emergency services, aviation or air-traffic control, nuclear facilities, or industrial control or safety systems, or in any environment where the Software's failure, false positive, or automated action (including process termination or network isolation) could lead to death, personal injury, or severe physical or environmental damage. You will not deploy the Software in any such environment or as the sole safeguard in any such environment, and OneNetSpace disclaims any express or implied warranty of fitness for high-risk use.

9. No Security Guarantee And Backup Responsibility

THE SOFTWARE IS A SECURITY AID AND DOES NOT CONSTITUTE A GUARANTEE OF ABSOLUTE SECURITY. No security solution can detect, block, or remediate 100% of malware, zero-day vulnerabilities, ransomware, or cyberattacks. You acknowledge that the Software may fail to detect malicious activity or may misidentify legitimate software or activity as malicious. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING INDEPENDENT, OFFLINE, AND TAMPER-PROOF BACKUPS OF ALL YOUR DATA. ONENETSPACE SHALL HAVE NO LIABILITY FOR LOST, CORRUPTED, OR ENCRYPTED DATA, WHETHER CAUSED BY MALICIOUS ACTIVITY, BY ACTIONS OR INACTION OF THE SOFTWARE (INCLUDING REMEDIATION ACTIONS AND FALSE POSITIVES), OR OTHERWISE, SUBJECT TO SECTION 11.

10. Disclaimer Of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE AND THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. ONENETSPACE AND ITS LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. ONENETSPACE DOES NOT WARRANT THAT THE SOFTWARE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME, OR THAT DEFECTS WILL BE CORRECTED. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to You; in such jurisdictions, warranties are disclaimed to the maximum extent permitted by law.

11. Limited Remedy; Limitation Of Liability

(a) Exclusive Remedy: Your exclusive remedy, and OneNetSpace's entire obligation, for any defect or failure of the Software or Services is, at OneNetSpace's option: repair or re-performance of the affected Software or Service, or a refund of the fees You paid for the affected subscription period.

(b) Exclusion of Damages: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ONENETSPACE, ITS AFFILIATES, OFFICERS, MEMBERS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, WORK STOPPAGE, COMPUTER FAILURE, DEVICE INOPERABILITY, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATED TO THE SOFTWARE, THE SERVICES, THEIR INSTALLATION, AUTOMATED ACTIONS, UPDATES, SUSPENSION, UNINSTALLATION, OR THIS AGREEMENT, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(c) Liability Cap: TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONENETSPACE'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SOFTWARE, THE SERVICES, OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID ONENETSPACE FOR THE SOFTWARE AND SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

(d) Independence: The exclusion of damages in Section 11(b) and the limitation of liability in Section 11(c) are independent of one another and of any remedy, and each applies even if any limited remedy fails of its essential purpose.

(e) Exceptions: Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or willful misconduct, or for any other liability that cannot be excluded or limited under applicable law. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so some of the above may not apply to You; nothing in this Agreement excludes or limits any right or remedy You may have under applicable consumer-protection law that cannot lawfully be excluded or limited by agreement, and in such jurisdictions liability is limited to the greatest extent permitted by law.

12. Essential Basis Of Bargain

YOU ACKNOWLEDGE THAT THE DISCLAIMERS, EXCLUSIONS, AND LIMITATIONS IN SECTIONS 2, 5 THROUGH 11, AND 13 ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND ONENETSPACE, THAT THEY ARE REFLECTED IN THE FEES CHARGED, AND THAT ONENETSPACE WOULD NOT PROVIDE THE SOFTWARE TO YOU WITHOUT THEM.

13. Indemnification

You will defend, indemnify, and hold harmless OneNetSpace, its officers, members, employees, and agents from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your use of the Software or Services in violation of law or of this Agreement; (b) Your breach of Your representations and warranties in this Agreement (including Section 14); (c) any claim by a user of a monitored device arising from monitoring conducted without legally required notice or consent; or (d) claims by third parties arising from remediation or containment actions taken by the Software pursuant to policy configurations enabled by You or Your administrators. Your indemnification obligations do not apply to the extent a claim results from OneNetSpace's fraud, gross negligence, or willful misconduct.

14. Data, Privacy, And Monitoring Authorization

(a) Local-First Processing: The Software performs security analysis locally on Your endpoints. Security detection content and AI analysis are processed on Your devices (or on devices in Your own private mesh that You designate) and are not transmitted to OneNetSpace by default.

(b) Data Exchanged with OneNetSpace: The Software exchanges limited operational data with the Services to manage enrollment, licensing, updates, and system health, including: agent version, hostname, operating system, network identifiers and public keys used for the Software's secure connectivity, machine fingerprint, update results, security-posture status indicators, tamper-related events, and feedback You choose to submit. Two optional features, each requiring Your explicit opt-in, transmit additional data through OneNetSpace: (i) alert notifications relayed via OneNetSpace's email relay, whose summaries may include details such as process names or URLs and which are relayed and not retained by OneNetSpace; and (ii) exclusion requests, which include file hashes, file names, process names, rule names, signer information, and Your notes. Where You configure exports to Your own logging (SIEM) or email infrastructure, that data is transmitted directly to the destinations You designate and does not pass through OneNetSpace. OneNetSpace may create and use aggregated or de-identified data that does not identify You or any individual to operate, secure, and improve the Software and Services.

(c) Monitoring Authorization: You represent and warrant that: (i) You own or have the legal right to manage and monitor each device on which You install the Software; (ii) You will provide all legally required notices to, and obtain all legally required consents from, each person who uses a monitored device (including employees, contractors, family or household members, and guests); and (iii) You are solely responsible for compliance with all laws applicable to Your deployment and use of the Software, including laws governing monitoring, interception, and recording of communications and computer activity.

15. Beta And Preview Features; Feedback

Features identified as beta, preview, pilot, experimental, or early access are provided AS IS for evaluation, may be modified, suspended, or discontinued at any time, and are excluded from any support or availability commitments. If You submit suggestions, feedback, ideas, or reports, You grant OneNetSpace a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without obligation or attribution.

16. Third-Party And Open-Source Components

The Software may include third-party or open-source software modules. Such components are provided "as is" and are subject to their respective license agreements; nothing in this Agreement limits Your rights under, or grants rights that supersede, such licenses. The applicable third-party copyright and license notices — and, where required, a written offer for corresponding source code — are provided in the Third-Party Notices (the same file is installed alongside the Software).

17. Termination

This Agreement is effective until terminated. Your rights under this Agreement terminate automatically without notice if You breach any term. Upon termination or expiration for any reason, You must cease all use of the Software and remove it from Your devices using the authorized removal process described in Section 5(c); OneNetSpace will make removal authorization available to You following termination and will not unreasonably withhold or delay it. Sections 2(b), 3 through 6, and 8 through 22, and any other provision that by its nature should survive, survive termination.

18. Dispute Resolution; Arbitration; Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY - IT AFFECTS YOUR LEGAL RIGHTS.

(a) Informal Resolution: Before filing a claim (other than a claim for equitable relief under Section 18(c)), each party agrees to first notify the other of the dispute in writing (to OneNetSpace at support@onenetspace.com) and to attempt in good faith to resolve it informally for at least thirty (30) days. All applicable statutes of limitations and filing deadlines are tolled from the date such notice is given until sixty (60) days after the informal-resolution period ends.

(b) Binding Arbitration: Except as provided in Sections 18(c), 18(d), and 18(e), any dispute, claim, or controversy arising out of or relating to this Agreement, the Software, or the Services shall be resolved by BINDING ARBITRATION on an individual basis, administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or its Commercial Arbitration Rules for customers who do not qualify as consumers under those rules). Judgment on the award may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs this Section. If the AAA is unavailable or declines to administer an arbitration, the parties will agree on an alternative administrator; if they cannot agree within thirty (30) days, a court of competent jurisdiction shall appoint one pursuant to 9 U.S.C. Section 5.

(c) Exceptions: Either party may (i) bring an individual claim in small-claims court, or (ii) seek injunctive or other equitable relief in a court of competent jurisdiction for actual or threatened infringement or misappropriation of intellectual property, breach of Section 3, or unauthorized access to or abuse of the Software or Services.

(d) Opt-Out: You may opt out of this arbitration agreement by sending written notice to support@onenetspace.com within thirty (30) days of the date You first accept a version of this Agreement containing this arbitration provision, stating Your name, the email associated with Your account, and Your intent to opt out of arbitration. If You opt out, Sections 18(b), 18(e), 18(f), and 18(h) will not apply to You or to OneNetSpace with respect to You, and disputes will proceed in court under Section 19; all other provisions of this Agreement are unaffected.

(e) CLASS-ACTION WAIVER: TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING, AND THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN CLAIMS. This class-action waiver is not severable from the agreement to arbitrate: if it is held unenforceable as to a particular claim, then the agreement to arbitrate does not apply to that claim, which shall proceed in court under Section 19.

(f) Coordinated Filings: If twenty-five (25) or more similar arbitration demands are filed against OneNetSpace with the assistance of coordinated counsel, the parties agree the demands shall be resolved in staged proceedings (batches) under the arbitration provider's applicable mass-filing procedures, with a bellwether set proceeding first. All applicable statutes of limitations and filing deadlines are tolled for each demand from the date a compliant arbitration demand is submitted until that demand is resolved or released from the staged process. If a demand has not been assigned to a proceeding batch within one hundred eighty (180) days of submission, the claimant may elect to withdraw it and proceed in small-claims court or in court under Section 19. This Section 18(f) is severable: if it is held unenforceable, it shall be severed and the remainder of Section 18 continues to apply.

(g) Fees and Location: For consumers, OneNetSpace will pay all AAA filing, administrative, and arbitrator fees that exceed the consumer filing fee capped by the AAA Consumer Arbitration Rules, and OneNetSpace will not seek its attorneys' fees or costs from You in arbitration unless the arbitrator finds Your claim frivolous or brought in bad faith. Any in-person hearing will be held in the county where You reside, or by videoconference at Your election.

(h) Jury Waiver: If for any reason a claim proceeds in court rather than arbitration, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL to the extent permitted by law.

19. Governing Law And Venue

This Agreement is governed by and construed in accordance with the laws of the State of Florida, USA, without giving effect to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Subject to Section 18, You consent to the exclusive jurisdiction and venue of the state and federal courts located in Florida for any dispute not subject to arbitration. If You are a consumer, this Section does not deprive You of the protection of mandatory consumer-protection provisions of the law of Your place of residence where applicable law so provides.

20. Export Compliance

You represent that You are not located in, and will not export or re-export the Software in violation of, any U.S. or applicable international export control or economic sanctions laws.

21. Changes To This Agreement

OneNetSpace may modify this Agreement by providing notice through the Software, the portal, or email to Your registered address. Material changes take effect no earlier than thirty (30) days after notice, except changes necessary to address an imminent security or legal risk, which may take effect sooner and will be identified as such in the notice. Your continued use of the Software after the effective date constitutes acceptance of the modified Agreement; however, You will not be deemed to have accepted a modified Agreement by continued use during any period in which You have requested removal authorization under Section 5(c) and it has not yet been issued. If a material change adversely affects You and You do not agree to it, You may terminate this Agreement by notice to OneNetSpace within thirty (30) days after the change takes effect and remove the Software using the authorized removal process (which OneNetSpace will make available); for paid subscriptions, You will receive a pro-rata refund of prepaid fees for the remainder of the then-current term.

22. General

(a) Entire Agreement; Precedence: This Agreement constitutes the entire agreement between You and OneNetSpace regarding installation and local operation of the Software and supersedes all prior agreements or representations on that subject. Any separate terms presented to You when You create an account or purchase a subscription will govern accounts, billing, subscriptions, and use of the hosted Services; in the event of conflict, this Agreement controls as to installation and local operation of the Software, and such separate terms control as to accounts, billing, subscriptions, and use of the hosted Services. Unless and until such separate terms are presented to You and accepted, this Agreement — including Sections 10, 11, 18, and 19 — also governs Your accounts, subscriptions, and use of the Services.

(b) Severability: If any provision of this Agreement is held unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect (except as provided in Section 18(e)).

(c) Assignment: You may not assign this Agreement without OneNetSpace's prior written consent; OneNetSpace may assign it to an affiliate or in connection with a merger, acquisition, or sale of assets.

(d) No Third-Party Beneficiaries: This Agreement is for the sole benefit of the parties; nothing in it confers any right or remedy on any third party.

(e) Force Majeure: OneNetSpace is not liable for delay or failure caused by events beyond its reasonable control, including internet, hosting, or utility outages, acts of government, labor disputes, or acts of God. Force majeure does not excuse OneNetSpace's removal-authorization obligations under Sections 5(c) and 17 beyond the period reasonably necessary to restore an issuance channel.

(f) Notices: Legal notices to OneNetSpace must be sent to support@onenetspace.com. OneNetSpace may provide notices to You through the Software, the portal, or the email address associated with Your account.

(g) Waiver: OneNetSpace's failure to enforce any right is not a waiver of that right.

By selecting "I Accept" or by installing, executing, or accessing the Software, You acknowledge that You have read this Agreement, understand it (including the arbitration agreement and class-action waiver in Section 18), and agree to be bound by all its terms.
